TERMS AND CONDITIONS — UDYOGYA USERS

These Terms and Conditions ("Terms") govern your use of the Udyogya platform ("Platform"), operated by Anarpakaya ("Company", "we", "us"). By registering or using Udyogya, you agree to these Terms.

1. ELIGIBILITY
You must be at least 18 years old and legally capable of entering into binding contracts under Indian law to use this Platform.

2. ACCOUNT
You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate, current information and notify us immediately of any unauthorised use of your account.

3. PLATFORM SERVICES
Udyogya is a marketplace that connects users ("Seekers") with verified industry professionals ("Experts") for consultations and project-based work. The Company does not employ Experts and is not responsible for the advice, recommendations, or work delivered by Experts.

4. CONSULTATIONS
• You may book consultations with Experts at their listed rates.
• Consultations are conducted via video call or chat within the Platform.
• Once a consultation is marked as completed and billed, the fee is final subject to our Refund Policy.
• You agree not to solicit Experts for services outside the Platform.

5. PROJECTS
• You may assign project work to Experts with agreed milestones.
• Funds for each milestone are held in escrow and released upon your approval.
• A platform fee of 8% applies to all project transactions.
• GST at 18% is applicable on all milestone payments as per Indian tax law.

6. PAYMENTS AND WALLET
• All payments are processed securely via Razorpay.
• Refunds, where applicable, are credited to your Udyogya wallet.
• Wallet balances may be withdrawn to your registered bank account subject to a minimum withdrawal amount of ₹500.

7. PROHIBITED CONDUCT
You agree NOT to:
• Post false, misleading, or defamatory content
• Harass, abuse, or threaten any Expert or other user
• Attempt to solicit Experts outside the Platform
• Use the Platform for any unlawful purpose
• Share your account credentials with any third party
• Attempt to reverse-engineer or tamper with the Platform

8. INTELLECTUAL PROPERTY
All content, trademarks, and software on the Platform are owned by Anarpakaya or its licensors. You may not reproduce, distribute, or create derivative works without express written permission.

9. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Anarpakaya shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform or the services of any Expert. Our total liability shall not exceed the amount paid by you for the specific transaction giving rise to the claim.

10. DISPUTE RESOLUTION
Any disputes between you and an Expert may be raised through our in-app support system. For disputes with the Company, the parties shall first attempt resolution through negotiation. Unresolved disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996.

11. GOVERNING LAW
These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Dehradun, Uttarakhand.

12. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
